These Terms of Service ("Terms") govern your access to and use of Shogo's websites, applications, APIs, software, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" and "your" will refer to that organization.

2. Eligibility and Accounts
You must be legally capable of entering into a binding contract to use the Service. You are responsible for:
Maintaining the confidentiality of your login credentials
All activity under your account
Providing accurate account information and keeping it updated
3. The Service (What It Does)
Shogo provides a universal AI agent platform that can generate, render, and execute workflows and interfaces, including building software (web and mobile) and automating tasks.
You understand that:
The Service may generate outputs based on your inputs and connected tools.
Outputs may be incorrect, incomplete, or inappropriate for your specific use case.
You are responsible for reviewing outputs and decisions before using them in production or high-stakes contexts.
4. Acceptable Use
You agree not to misuse the Service. You will not (and will not allow anyone else to):
Use the Service to violate any law or third-party rights
Attempt to gain unauthorized access to systems, data, or accounts
Use the Service to create or distribute malware, phishing, or harmful code
Interfere with or disrupt the Service (including probing, scanning, load testing without permission)
Use the Service to process or transmit data you do not have the right to use
Use the Service in a way that violates our Acceptable Use Policy (if published) or these Terms
We may suspend or terminate access if we reasonably believe you are violating these Terms or creating risk for the Service or others.
5. Integrations and Connected Accounts
The Service may allow you to connect third-party services (e.g., email, calendars, databases, messaging tools, code repositories, analytics, payment tools) ("Integrations").
You are responsible for:
Ensuring you have the rights and permissions to connect and use Integrations
Complying with third-party terms and policies
Any actions the Service takes through your Integrations (including read/write actions)
We do not control third-party services and are not responsible for their availability, security, or behavior.
6. Agent Actions, Approvals, and Responsibility
Some features may allow the agent to take actions (e.g., create/update records, send messages, deploy code, trigger workflows).
You acknowledge and agree:
You are responsible for configuring permissions, approval steps, and safeguards.
You are responsible for reviewing and validating outputs before relying on them.
You should not use the Service for high-risk use cases (e.g., medical, legal, safety-critical decisions) without qualified human oversight.
7. Content, Inputs, and Outputs
Your Content
"Content" means anything you submit to the Service (inputs, prompts, files, data) and anything the Service produces for you (outputs, generated interfaces, code, documents, workflows).
You represent and warrant that you have all rights necessary to provide your Content to the Service.
Ownership
As between you and Shogo:
You retain your rights to your inputs and your Content.
Subject to these Terms, you may use outputs generated for you.
Restrictions
You may not use the Service or outputs to:
Infringe intellectual property or privacy rights
Misrepresent AI-generated outputs as verified facts without review
Circumvent security or access controls
8. Plans, Billing, and Payments
If you purchase a paid subscription:
You agree to pay fees shown at checkout, plus applicable taxes.
Subscriptions renew automatically unless canceled before renewal.
We may change fees with notice, effective at the next renewal or as required by law.
Usage-based features / credits (if applicable): If your plan includes credits or usage limits, you are responsible for monitoring usage. If you exceed limits, you may need to buy top-ups or wait for reset, depending on your plan.
9. Cancellation and Refunds
You can cancel your subscription at any time through your account settings (or by contacting support if self-serve cancellation isn't available). Cancellation stops future renewals.
Refunds are provided only if required by law or if stated in a separate Refund Policy (if published).
10. Service Availability and Changes
We may update, modify, or discontinue parts of the Service. We do not guarantee that the Service will always be available, uninterrupted, or error-free.
We may perform maintenance and may suspend access temporarily for operational or security reasons.
11. Privacy
Our collection and use of personal data is described in our Privacy Policy.
12. Security
We take reasonable measures designed to protect the Service and your data, but no method of transmission or storage is 100% secure. You are responsible for:
Securing your devices and accounts
Using strong authentication (and enabling MFA if offered)
Controlling Integration permissions

We and our licensors own all rights in the Service, including software, branding, UI components, and documentation, except for your Content.
You may not copy, modify, distribute, sell, or lease any part of the Service except as explicitly permitted.

15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You acknowledge that outputs may be inaccurate and you are responsible for verifying them.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
SHOGO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
SHOGO'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO SHOGO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations; in that case, the limitation applies to the fullest extent permitted.
17. Indemnification
You agree to indemnify and hold harmless Shogo from claims arising out of:
Your use of the Service
Your Content
Your violation of these Terms or applicable law
Your use of Integrations
18. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users.
Upon termination, your right to use the Service stops. Certain sections (e.g., disclaimers, limitations, indemnity) survive termination.

We may update these Terms. If changes are material, we'll provide notice (e.g., by email or in-product). Continued use after the effective date means you accept the updated Terms.
